Service agreement for Aura HR platform

1. Definitions

1.1 "Service Provider" or "Aurelium" refers to Aurelium Limited.

1.2 "Client" refers to any entity subscribing to Aurelium HR services.

1.3 "Services" refers to the AI-powered virtual HR assistant services provided by Aurelium.

1.4 "Confidential Information" refers to any information designated as confidential or understood to be confidential given its nature.

2. Scope of the Software

2.1 Aurelium provides an AI-powered platform, including but not limited to an AI chatbot specializing in HR operations and corporate procedures and policies, offering personalized and comprehensive support for employees 24/7.

3. Data Ownership

3.1 All data provided by the Client remains the property of the Client unless those data are already accessible to the public. Aurelium will process this data solely for the purpose of providing the Services. The public data provided by the Client may be used by Aurelium with the purpose to improve the quality of the delivery or to feed the global knowledge base.

3.2 Aurelium adheres to GDPR and other applicable data protection laws.

3.3 The Client consents to Aurelium collecting, storing, and processing data necessary for fulfilling the services and for promotional purposes.

3.4 Data will not be transmitted to third parties without the Client's consent, except as necessary for service provision.

4. Intellectual Property

4.1 All intellectual property rights in the Services and related materials remain the exclusive property of Aurelium.

4.2 The Client is granted a non-exclusive, non-transferable right to use the Services solely for its internal business purposes.

5. Pricing and Payment

5.1 Subscription Plans: Pricing varies based on the subscription level chosen by the Client, as detailed on Aurelium's website.

5.2 Payment Terms: All payments are due at the date of the subscription or the purchase and every month following the start of the subscription. In case of late payments of more than 7 days, Aurelium may pause the service until the payment has been made. Aurelium has the right to debit the amount of the subscription from any payment method the client has shared with Aurelium, including debit or credit cards.

5.3 Integration Costs: Initial integration is free unless communicated otherwise to the client based on specific customizations or when the client chooses the "Enterprise solution". In this case, potential integration costs may occur and will be communicated to the client.

6. Limitation of Liability

6.1 Aurelium's total liability under these Terms & Conditions shall not exceed the total amount paid by the Client for the Services.

6.2 Aurelium is not liable for any indirect, incidental, special, or consequential damages.

6.3 Claims for compensation are barred within six months from the time knowledge of the damage is gained, and at the latest three years after the event causing damage.

7. Confidentiality

7.1 Both parties agree to keep all Confidential Information confidential and not disclose it to any third party, except as required by law.

7.2 This obligation survives the termination of the Terms & Conditions indefinitely.

8. Term and Termination

8.1 The services commence on the subscription date and are valid as long as the client is not terminating the subscription.

8.2 Either party may terminate the services with sixty (60) days written notice.

9. Service Level Agreement (SLA)

9.1 Aurelium guarantees an uptime of 90%. Any downtime exceeding this will be compensated by extending the service period at no additional cost to the Client.

10. General Disclaimer

10.1 Aurelium is not liable for the accuracy of content provided by the Client or sourced from the internet, nor for any information provided by the AI assistant or any tools provided to the Client by Aurelium.

10.2 Aurelium is not responsible for verifying the legality or appropriateness of the content provided by the Client nor those provided by the chatbot or any tools provided to the Client by Aurelium.

11. Data Protection and Privacy

11.1 Aurelium shall comply with GDPR and other applicable data protection laws.

11.2 The Client consents to Aurelium collecting, storing, and processing data necessary for fulfilling the Terms & Conditions and for promotional purposes.

11.3 Data will not be transmitted to third parties without the Client's consent, except as necessary for service provision.

11.4 All AI processing is conducted within Aurelium's controlled EU-based infrastructure. Client data is not used to train AI models and is processed statelessly without retention beyond the immediate processing cycle.

12. Support and Maintenance

12.1 Support: Available 9:00 AM to 6:00 PM CET, Monday to Friday. Critical issues will be addressed within 2 hours.

12.2 Maintenance: Regular and emergency maintenance will be communicated in advance whenever possible.

13. Warranties and Representations

13.1 Aurelium warrants that the Services will be performed professionally and in accordance with industry standards.

13.2 The Client warrants that they will use the Services in accordance with all applicable laws.

14. Indemnification

14.1 Each party agrees to defend, indemnify, and hold harmless the other party from any claims arising from breaches of these Terms & Conditions.

15. Force Majeure

15.1 Neither party shall be liable for failure or delay in performance due to causes beyond its reasonable control, including acts of God, terrorism, war, labor strikes, and digital force majeure events.

16. Governing Law

16.1 These Terms & Conditions shall be governed by the laws of Luxembourg, and any disputes shall be resolved in the courts of the United Kingdom.

17. Entire Agreement

17.1 These Terms & Conditions constitute the entire agreement between the parties and supersede all prior agreements.

18. Amendments

18.1 These Terms & Conditions may be amended at any time by Aurelium but should be communicated to the client without notice.

19. Subcontracting

19.1 Aurelium may subcontract any of its obligations under these Terms & Conditions without the prior written consent of the Client.

20. Severability

20.1 If any provision of these Terms & Conditions is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

21. Assignment

21.1 Neither party may assign its rights or obligations under these Terms & Conditions without the prior written consent of the other party, except to a successor in the event of a merger, acquisition, or sale of all or substantially all of its assets.
